1. The LoanWorx Platform

LoanWorx provides a comprehensive platform for creating, managing, and underwriting loans in the merchant cash advance industry. Our services include:

• Automated document processing and data extraction
• Underwriting assistance and decision support
• Contract generation and electronic signature management
• Integration with third-party financial services

The effective provision of our services requires customer cooperation and data sharing as outlined in these terms and our Privacy Policy.

2. Account Registration

To access our platform, you must register for an account through one of our account managers. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may cancel your account at any time by contacting our support team. We reserve the right to suspend or terminate accounts that violate these terms.

3. Access Restrictions

5. Ownership and Confidentiality

The LoanWorx platform, including all features, content, and technology, remains our exclusive property. You acknowledge that our platform contains confidential and proprietary information that must be protected.

Any confidential information disclosed by either party must be kept confidential and used solely for the purposes of this agreement. This obligation survives termination of your use of our services.

6. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes that affect the functionality of our services.

7. Liability and Warranties

Our platform is provided "as is" without warranties of any kind. We disclaim all warranties, including:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of specific performance or results
• Assurances of error-free or uninterrupted service

Our liability for damages is limited to the amount you have paid for our services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Indemnification

You agree to indemnify and hold LoanWorx harmless from any claims, damages, or expenses arising from:

• Your misuse of our platform
• Any data you provide to us
• Your violation of any third-party rights

9. Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately if you violate these terms. Upon termination:

• Your access to the platform will cease
• We will return or delete your data as requested
• Provisions regarding confidentiality and indemnification survive

10. Governing Law and Disputes

These terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services shall be resolved in the courts of Miami/Ft. Lauderdale, Florida.

11. Changes to Terms

We may update these terms periodically. We will notify you of material changes and provide the updated terms. Continued use of our services after changes become effective constitutes acceptance of the new terms.
